These terms of use (Terms) govern your use of our website at https://www.riyadhair.com (the Site) and/or any associated Riyadh Air mobile application (the App).

The Site and App are owned and operated by Aviation Services Company, a company established under the laws of the Kingdom of Saudi Arabia.

By accessing, using, viewing, transmitting, caching, or storing the Site and any of its services, functions, materials, or content, you are deemed to have agreed to these Terms. If you do not agree to these Terms, you must not access the Site.

By downloading, installing, or using the App, you confirm that you accept these Terms and agree to be bound by them from the moment of first use. If you do not agree to these Terms, you must not download the App and you must delete the App if you have already downloaded it.

1. WHO WE ARE AND HOW TO CONTACT US

For the purposes of these Terms, "Riyadh Air", “we”, “our” or “us” refer to Aviation Services Company, a company registered in the Kingdom of Saudi Arabia, and “you” or “your” refers to the individual accessing the Site and/or using the App.

2. ACCEPTANCE OF THESE TERMS

2.1 These Terms constitute a legal agreement between us and you. By using the Site and/or App, you confirm that you are of the age of majority and/or have all necessary authority, permission and mental capacity, under the laws which apply to you, to accept these Terms and that you agree to comply with them. By accessing or using the Site and/or App, you acknowledge that these Terms are legally binding and enforceable. If you do not accept and agree to comply with these Terms, then you must not use the Site and/or App. If you click “accept,” continue to use, or otherwise access the Site and/or App, you are deemed to have accepted these Terms.

2.2 You are responsible for ensuring that all persons who access the Site and/or App through your network or account are aware of these Terms and other applicable terms and conditions, and that they comply with them. You will be held liable for any misuse or breach of these Terms by such persons.

3. OTHER TERMS THAT MAY APPLY TO YOU

3.1 These Terms refer to the following additional terms, which are incorporated into our Terms and also apply to your use of our Site and App:
(a) Our Privacy Policy, which explains how we collect, use and store your personal data.
(b) Our Cookie Policy, which sets out information about the cookies including details on the types of cookies we use, what information they collect and how you can manage your cookie preferences.

3.2 If you order any products or services through our Site or App, our Order Terms and Conditions will apply to your online purchase.

3.3 The carriage of passengers and their baggage by air will be subject to the Conditions of Carriage of the carrier concerned. If you buy a ticket through the Site or App for a flight operated by Riyadh Air, the carriage of passengers and their baggage will be subject to the Riyadh Air Conditions of Carriage and the Fare Bundles.

3.4 These documents, together with any other terms, policies, or notices referenced on our Site or App or otherwise made available to you, form part of these Terms and apply to your use of the Site and/or App.

4. AVAILABILITY, RELIANCE AND ACCURACY

4.1 The Site and App are made available free of charge for your personal use and informational purposes only. We do not guarantee that the Site or App, or any content on them, will always be available, error-free or be uninterrupted. We may suspend or withdraw or restrict the availability of all or any part of the Site and/or App at any time without notice.

4.2 Although we make reasonable efforts to update the information on the Site and App, we make no representations, warranties or guarantees, whether express or implied, that the content on the Site and App is accurate, complete or up to date.

5. THIRD-PARTY LINKS AND SERVICE PROVIDERS

5.1 Where the Site and/or App contains links to other sites and resources provided by third parties, these links are provided for your information only. Such links should not be interpreted as approval by us of those linked sites or information you may obtain from them. We have no control over the content of those sites or resources and their terms of use will differ from ours. We are not responsible for the content, accuracy, or availability of any third-party websites or services that may be linked to or accessed through the Site and/or App. Access to such third-party content is at your own risk.

5.2 Where third-party products or services are offered or sold through the Site and/or App (including but not limited to chauffeur services, hotel booking or other ancillary services), such offerings are provided solely by the third party and not by Riyadh Air. We are not responsible or liable in any way for the quality, accuracy, delivery, or any aspect of such products or services, and any transactions are subject to the third party’s terms and conditions. Any dealings with third-party providers are solely between you and the relevant third party, and we disclaim all responsibility for any loss, damage, or failure arising from such interactions.

5.3 These Terms do not cover your use of third-party websites and we encourage you to review their terms of use and associated policies.

5.4 You are responsible for ensuring that your device(s) meets the minimum system requirements necessary for running the Site and/or App.

6. USER ACCOUNTS

6.1 If the Site and/or App allow you to create an account, then this section applies. Some account features may be subject to additional terms and conditions which will be notified to you as applicable. You must comply with such terms and conditions.

6.2 If you choose, or you are provided with, a user identification code, password or any other piece of information as part of our security procedures, you must treat such information as confidential. You must not disclose it to any third party.

6.3 We have the right to disable any user identification code or password, whether chosen by you or allocated by us, at any time, if in our reasonable opinion you have failed to comply with any of the provisions of these Terms.

6.4 If you know or suspect that anyone other than you knows your user identification code or password, or is trying to access your account you must promptly notify us (see “Contact Us” below).

6.5 You must not attempt to gain unauthorised access to our Site or App, including via any other person’s account, the server on which our Site or App is stored or any server, computer or database connected to our Site or App or any other equipment or network connected with our Site or App. You must not interfere with, damage or disrupt any software used in the provision of our Site or App or any equipment or network or software owned or used by any third party on which the Site or App relies in any way.

7. DOWNLOADING AND USING OUR APP

7.1 The App may be available for download from third party application markets/stores. The ways in which you can use the App may also be controlled by the terms and policies of the operator of the relevant application market/store. You must also comply with those terms.

7.2 In return for complying with these Terms you may:
(a) download a copy of the App onto your personal devices and view, use and display the App on such devices for your personal purposes only; and
(b) receive and use any free supplementary software code or update of the App incorporating "patches" and corrections of errors as we may make publicly available.

7.3 You acknowledge that the App is our proprietary property and includes our software or software licensed to us by others, and you are granted only a limited license to use the App in accordance with these Terms. The license we grant you is worldwide, non-exclusive, royalty-free, personal, and non-transferable and non-assignable.

7.4 We provide the right to use the App under license as set out above to you personally, and you may not otherwise transfer the App to someone else, whether for money, for anything else or for free. If you sell or dispose of any device on which the App is installed, you must remove the App from it.

7.5 You must not:
(a) rent, lease, sub-license, loan, provide, or otherwise make available, the App or any part of it to any person; or
(b) make copies of the App, or translate, merge, adapt, vary, alter or modify, the whole or any part of the App, nor permit the App or any part of it to be combined with, or become incorporated in, any other programs, except as necessary to use the App on your device(s) as permitted in these Terms.

7.6 You should ensure that you keep a separate copy of any important information or content you have uploaded or stored on the App.

7.7 The App may include, from time to time, certain notification, pop-up or messaging functions which may be used for purposes such as alerting you of products or offers, service updates or transactional communications. To the extent that your personal data is used for such purposes, it shall be processed in accordance with our Privacy Policy. If we need your consent for such use of your information, we shall seek it in accordance with prevailing applicable law and the Privacy Policy.

7.8 The App may contain user settings, allowing you to manage how your information is used and what features or functionality are delivered to you on the App. We strongly recommend that you familiarise yourself with these settings and configure them according to your preferences.

8. RIYADH AIR CONCIERGE

8.1 We may make available on the Site and/or App our proactive user companion that you may interact with in a conversational manner (“RX Concierge”).

8.2 RX Concierge is an automated, AI-powered assistant and not a human agent. RX Concierge aims to provide accurate and helpful information, but its responses may not always be correct or up to date. It is not intended to be relied upon for critical information or transactions.

8.3 If you are seeking to find information which is critical to a journey or for some other reason, we recommend that you validate the information through our other channels.

Your use of RX Concierge may involve the processing of your personal data, which will be conducted in accordance with our Privacy Policy. Please be aware that conversations with RX Concierge may be monitored and recorded for quality, training and learning purposes, including to improve our services. If you do not agree to this, please refrain from using RX Concierge. We do not guarantee the accuracy or reliability of such content. We also reserve the right to modify, suspend, or discontinue RX Concierge at any time without notice.

8.4 To the maximum extent permitted by law, we disclaim liability for any decisions, outcomes, or losses resulting from the use of RX Concierge. By using this feature, you acknowledge and accept these terms.

9. USE OF MATERIAL ON THE SITE AND APP

9.1 We are the owner or the licensee of all intellectual property rights in the Site, App, the underlying software code and the material published on it (including all information, data and databases). This content is protected by copyright and other laws. All such rights are reserved. Nothing in these Terms should be construed as transferring ownership of any intellectual property rights to you.

9.2 You may access the contents of the Site and/or App for your own private use or internal use within your employer's organisation only, but not for any commercial or public use. Except where your use is permitted above or by copyright law, you may not otherwise copy, store in any medium (including any other website), distribute, transmit, re-transmit, broadcast, modify or show in public any part of the Site and/or App without our prior written permission.

9.3 Our names and logos and all related product and service names, design marks and slogans are the trademarks or service marks of us or our licensors. No trademark or service mark license is granted in connection with the materials contained on the Site and/or App. Access to the Site and/or App does not authorise anyone to use any of our names, logos or marks in any manner whatsoever.

9.4 If you use any part of the Site and/or App or its content in breach of these Terms, your right to use the Site and/or App will cease immediately.

10. LINKING TO THE SITE

Linking to this Site is strictly prohibited without our prior written consent. We reserve the right to withdraw linking permission without notice, which may be withdrawn at any time and is subject to your agreement to our linking conditions. 11. PROHIBITED USE

11.1 You agree to use the Site and/or App's services to make only legitimate reservations or purchases or to determine the availability of our products and services.

11.2 You must not engage in any actions that we consider inappropriate, illegal, or in violation of these Terms, or that are prohibited by any laws applicable to the Site and/or App, including but not limited to:
(a) using any part of the materials or content on the Site and/or App for commercial purposes;
(b) data mining, scraping, crawling or accessing the Site and/or App by using any scripts or automated service of any kind (including bots or spiders) or attempting to access the Site by impersonating any other person;
(c) using the Site and/or App to extract any data for commercial purposes, including to compile (or contribute to) any database of information or collection of listings or other data;
(d) using the Site and/or App, or any data published by, or contained in, or accessible via, the Site and/or App or any services provided via, or in relation to, the Site and/or App for the purposes of developing, training, fine-tuning or validating any AI system or model;
(e) any act that would constitute a breach of individual privacy rights or a breach of any other legal rights of individuals;
(f) using the Site and/or App in any manner that infringes any intellectual property rights of any person;
(g) using the Site and/or App to defame or libel us, our employees or other persons;
(h) use the Site and/or App for any other unlawful purpose;
(i) knowingly introduce viruses, trojans, worms, logic bombs or other material that is malicious or technologically harmful;
(j) gaining or attempting to gain unauthorised access to the Site and/or App, the server on which the Site or App is hosted or any server, computer or database connected to the Site or App;
(k) attacking or attempting to attack the Site and/or App via a denial-of-service (DOS) attack or a distributed denial-of-service (DDOS) attack;
(l) attempting to decipher, decompile, disassemble or reverse engineer any of the software comprising or in any way making up a part of the Site and/or App;
(m) posting or transmitting to the Site and/or App any non-authorised material including, but not limited to, material that is, in our opinion, likely to cause annoyance or offence, or which is defamatory, racist, obscene, threatening or otherwise contrary to the laws of the Kingdom of Saudi Arabia or which is detrimental to or in violation of our systems or a third party's systems or network security.

12. YOUR CONTENT AND OTHER USER’S CONTENT

12.1 If the Site and/or App contains functionality allowing you to upload content then this section applies (in addition to all other provisions of these Terms, including “Prohibited Use” above).

12.2 Whenever you make use of a feature that allows you to create content directly on our Site or App, upload or share content to our Site or App, or to make contact with other users of our Site or App, you must comply with these Terms as well as any other standards or terms displayed in relation to such feature.

12.3 Such features are voluntary, and you do not have to use them.

12.4 You warrant that any such contribution you make shall comply with these Terms and all such other standards or terms and you acknowledge that you are liable to us and indemnify us for any breach of that warranty. This means you will be responsible for any loss or damage we suffer as a result of your breach of warranty.

12.5 We will consider any content you upload to our Site or App to be non-confidential and not protected by any trademark or patent and to be entered into in the public domain for all purposes.

12.6 You may, however, own intellectual property rights in the content you create. By entering into these Terms and whenever you provide content, you grant us a license to use such content that is protected by intellectual property rights. The license you grant does not affect your privacy rights or your rights as a consumer in any way.

12.7 The license you grant us is a limited license to use, store and copy your content and to distribute and make it available to others. The license is worldwide, which means we can use the content anywhere, non-exclusive, which means you are not prevented from licensing the content to other people, and royalty-free, which means we do not need to pay you for the license and the license lasts for as long as your intellectual property rights in the content exist. We are also entitled to grant a sub-license to our subcontractors who provide relevant services to us which involve the use of your content (again, subject to your privacy rights).

12.8 The purposes for which we can use your content in accordance with the license are: operating and improving our services (including the Site and/or the App); developing new services; displaying the content where you have chosen to make it available to others; analysing the content to protect against security risks; subject to your privacy rights and your user preferences, for customisation of our services.

12.9 We have the right to disclose your identity to any person with the lawful ability to request such data in relation to any claim that any content posted or uploaded by you to our site violates intellectual property rights, privacy rights or is defamatory or unlawful in some respect, including government and law enforcement authorities, in each case in accordance with applicable laws.

12.10 We have the right to remove any posting you make on our site if, in our opinion, your post does not comply with the Terms or other applicable standards.

12.11 Our Site and/or App may include information and materials uploaded by other users. This information and these materials have not been verified or approved by us. The views expressed by other users on our site do not represent our views or values.

13. PAYMENTS

13.1 The Site and/or App may allow you to make payments for services, products and in relation to other transactions from time to time.

13.2 The terms on which such services and products are made available, or such transactions are conducted are separate to these Terms and may include, for example, our Order Terms and Conditions.

13.3 We may offer a variety of payment options, but we do not undertake or guarantee availability or acceptance of any particular payment method at any time.

13.4 The processing of payments and certain associated activities is subject to regulation by financial services regulators. We may integrate or link to third-party payment service providers on the Site and/or App. You acknowledge that these providers operate independently to us, and are not controlled by us and that you will be required to accept their terms and conditions of use and to provide your payment information to such third parties. We are not responsible for any issues arising from the use of such third-party services.

13.5 You confirm that any payment method used by you belongs to you or that you have the appropriate permission to use it. You are responsible for ensuring that your payment details are accurate and up to date.

13.6 Please be aware that your bank or card provider may apply additional charges, including foreign transaction fees or currency conversion costs, which are beyond our control.

13.7 All prices displayed on the Site and/or App are indicative, subject to availability, and may change without notice prior to the acceptance of your order. Any changes to orders, cancellations, or refunds are subject to our policies and applicable rules including our Order Terms and Conditions, Conditions of Carriage and Fare Bundles.

13.8 Continued use of any payment services indicates your agreement to the most current version of these Terms.

14. OUR LIABILITY TO YOU

14.1 Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded under applicable law. Subject to the above, and to the extent permitted by law, our total aggregate liability to you for any claims arising out of or in connection with the use of the Site and/or App, or any services (other than services subject to separate terms of sale) or content provided through them, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall not exceed SAR 500.

14.2 To the extent permitted by applicable law, we exclude all implied conditions, warranties, representations or other terms that may apply to the Site and/or App or any content or services provided through them. All offers are subject to availability and may be withdrawn or modified at any time.

14.3 We are not responsible for any event outside our control which affects the Site and/or the App or the provision of services, including but not limited to service interruptions, technical failures, or force majeure events.

14.4 We will not be liable to you for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with
(a) the use of, or inability to use, the Site and/or App;
(b) the use of or reliance on any content displayed on the Site and/or App.
(c) any disruption or failure in order, payment, or service delivery caused by third-party systems.

In particular, we will not be liable for loss of profits, sales, business, or revenue; business interruption; loss of anticipated savings; loss of business opportunity, goodwill or reputation; or any indirect or consequential loss or damage.

14.5 We do not guarantee that the Site and/or App or any content on them, will be always available, uninterrupted, secure or free from errors, bugs or viruses. We are not liable to you or any other person if interference with or damage to your computer systems occurs in connection with your use of the Site, the App, or any linked website. You are responsible for configuring your information technology, security measures, computer programmes and platform to access our services, and for using appropriate virus protection software when accessing the Site and/or App.

15 INDEMNITY

By using this Site and/or App, you agree to indemnify and hold us, our affiliates, licensors, subcontractors, any third party offering products or services through our Site and/or App and service providers, and their respective officers, directors, employees, and agents harmless from and against any and all liabilities, losses, costs and expenses (including legal fees) and damages that may arise out of or in connection with:
(a) your use or misuse of this Site and/or App;
(b) your breach of these Terms;
(c) your violation of any applicable law or the rights of any third party.

16. ENTIRE AGREEMENT AND LANGUAGE

16.1 These Terms, together with any policies, notices, or documents expressly referred to or incorporated by reference, constitute the entire agreement between you and us relating to your use of the Site and/or App and supersede all prior agreements, communications, and understandings, whether oral or written, relating to the same subject matter.

16.2 These Terms are published in English and Arabic for convenience. The English language shall be the binding and controlling language for all matters relating to the meaning or interpretation of these Terms.

17. GOVERNING LAW AND JURISDICTION

These Terms shall be subject to, construed and implemented according to the laws, regulations, instructions, decrees and any other instruments having force in the Kingdom of Saudi Arabia. In the event of any dispute or controversy between you and us arising out of or in connection with these Terms which cannot be settled amicably, the matter in dispute shall be referred for final settlement to the competent Saudi court in the Kingdom of Saudi Arabia. To the fullest extent permitted by applicable law, we reserve the right to bring any claim, action, or proceeding against you in any jurisdiction it deems appropriate. You agree that such jurisdiction shall be valid and binding, provided it complies with applicable legal requirements.

18. TERMINATION

18.1 You agree that we may, at our sole discretion, suspend or terminate your access to the Site and/or App and any related systems, information, services, and content at any time, for any reason, or for no reason, even if others continue to have access. We may do so if we reasonably believe you have violated these Terms, misused the Site and/or App, or engaged in fraudulent or unlawful activity.

18.2 If your access is suspended or terminated, you must immediately;
(a) stop using the Site and/or App;
(b) delete any copies of the content you have made; and
(c) delete the App from all devices in your possession.

18.3 We may disable access to any user accounts you have created, subject to applicable law. You are prohibited from creating a new account or accessing the Site and/or App through other means if your access has been suspended or terminated.

18.4 Continuing to access the Site and/or App or any related systems after suspension or termination will be considered unauthorised use. You also agree that we will not be held liable to you or any third party for any suspension or termination of your access.

19. NOTIFICATION OF CHANGES

We may amend these Terms from time to time. We will upload updated Terms on the Site and/or App. Each time you wish to use the Site and/or App, please check these Terms to ensure that you understand the terms that apply at that time. By using this Site and/or App, you are deemed to have agreed to the latest version of the Terms.

20. UPDATES

20.1 From time to time, we may automatically update the Site or App to improve performance, enhance functionality, reflect changes to the operating system or address security issues. We may also remove or change any functions or features from time to time.

20.2 We may make an updated version of the App available for download.

20.3 You are encouraged to ensure you download the latest version of the App. The App may have been updated to address security vulnerabilities or other identified risks, and you recognise that using an older version of the App may expose you to such risks to which you may not be exposed if you used the latest version.

20.4 If you choose not to install App updates or if you opt out of automatic updates you may not be able to continue using the App.

21. WAIVER

Any failure by us to assert any rights we may have under these Terms does not constitute a waiver of our right to assert the same and shall not be deemed a waiver of any subsequent right or remedy. No waiver of any provisions of these Terms shall be effective unless it is in writing and signed by us granting such waiver.

22. INVALIDITY

22.1 If any provision of this Terms (or part of any provision) is found by any court or other authority of competent jurisdiction to be invalid, illegal or unenforceable, that provision or part-provision shall, to the extent required, be deemed not to form part of this Terms, and the validity and enforceability of the other provisions of this Terms shall not be affected.

22.2 If a provision of this Terms (or part of any provision) is found illegal, invalid or unenforceable, the provision shall apply with the minimum modification necessary to make it legal, valid and enforceable.

23. TRANSFER

We may assign or transfer our rights and obligations under these Terms to any other entity, including in connection with merger, acquisition, or corporate restructuring. Such a transfer will not impact your rights. You may not assign or transfer your rights of obligations under these Terms without our prior written consent.
